MODEL “A” RESTORER’S CLUB, INCORPORATED

ARTICLE I
Name and Principle Office

Section 1. The name of this Region shall be the San Gabriel Valley Region of the Model A Restorers Club, Incorporated.

Section 2. The principle office of this Region shall be located in Los Angeles County, California.

ARTICLE II
Purpose

Section 1. The purpose of this club, as a nonprofit public corporation for the exclusive benefit of the general public, is the location, preservation, restoration, maintenance and accessories, history and memorabilia. In carrying out the club activities, exclusive benefit of the general public welfare shall always be a primary consideration, and incidental benefits to members a secondary consideration.

Section 2. To encourage association and good fellowship of individuals interested in the Model A, promote public respect and prestige of the Model A owner, and to provide a common basis for the exchange of pertinent ideas and information.

Section 3. To accomplish the purposes of the region through active support of the national organization of the Model A Restorers Club, Incorporated.

ARTICLE III
Membership

Section 1. Members. Any person interested in the objectives of the Club and willing to do his active share in furthering the objectives of the Club is eligible for membership. Application for membership shall be signed by one active member and approved by the Region, or as outlined in the National Constitution and Charter.

Section 2. All members of the Model A Restorers Club residing within the geographical limits of the region shall be members of the Region.

Section 3. Upon written recommendation of five members, the Region Board of Governors may confer Honorary Membership upon any individual who, through his actions, outstandingly supports the club in accomplishing its purpose.

Section 4. Members shall pay dues of $15 per individual membership or per family membership (includes children up to age 18). Members elected during the fourth quarter shall be entitled to membership for the ensuing year. Members in good standing shall be paid up with the National organization. Voting rights within the region shall be limited to individual and family members (excluding children).

Section 5. Awards. To qualify for the awards at Regional meets, all entrants must be a member of the National Model A Restorers Club. Entrants will be disqualified for nonpayment of current National and Regional dues. Entrants from other national recognized clubs may qualify for awards at Regional meets during any calendar year, when approved by the Board of Directors in office during the calendar year. Entrants from other Clubs shall be members in good standing with the Club they represent.

ARTICLE IV
Meetings of Members

Section 1. Annual Meeting. The annual meeting of the members shall be held during the month of January of each year. The purpose of said meeting shall be the election of Regional Officers and Directors.

Section 2. Monthly Meetings. A regular monthly meeting of the members shall be held on the third Tuesday of each month.

Section 3. Special Meetings. Special meetings of the members may be called by the President or by a majority vote of the Board of Directors or may be called by the Secretary upon written application of at least 25 members of the Club then entitled to vote. The application shall state the purpose of the meeting. Notice of a meeting held pursuant to such application must be sent ot all members within 10 days after receipt of the application and the meeting must be held within 40 days after receipt of the application. At least 10 days notice must be given. The time and place shall be determined by the President or by a majority vote of the Board of Directors.

Section 4. Notice of meetings. A written or printed notice of meting of the members shall be given by the Secretary stating the place, day, hour and purpose, said notice given not less than six (6) days prior to such meeting. Notice of all regular monthly meetings shall be published in the preceding month's issue of The Horn.

Section 5. Quorum. Presence of at least one-third of the active regional members or their proxies shall constitute a quorum.

ARTICLE V
Officers

Section 1. General Powers. The affairs of the Region shall be managed by its Board of Directors.

Section 2. Number, Tenure and qualifications. The Board of Directors shall consist of nine members. The tenure of office shall be one year, or until successors have been elected and qualified.

Section 3. Nomination and Election of Officers. A nominating committee of five (5) active members, appointed by the Board of Directors, shall make the nomination of the elective officers. Election of Officers shall be by marked ballot.

ARTICLE VI
Duties of the Elected Officers

Section 1. Duties of the President and Vice President. The President shall preside at all meetings of the Region and the Board of Directors, and shall perform the duties normally incumbent upon the office. In the absence of the President, the duties shall be performed by the Vice President. The President shall possess and maintain the Club charger, all pertinent club records and library.

Section 2. Duties of the Secretary. The Secretary shall record all minutes of the Region and Board of Directors meetings and perform all duties incident to the office.

Section 3. Duties of the Treasurer. The Treasurer shall have custody of all monies of the Region, and shall make payments with monies authorized by the board of Directors, and shall give financial report at each Regional and Board Meeting. The Treasurer shall maintain a current register file of all members, and furnish quarterly and updated copy to the Secretary.

ARTICLE VII
Board of Directors

Section 1. The Board of Directors shall consist of the elected Officers of the Region, and such other Members-at-Large sufficient to bring the number on the Board to nine.

Section 2. The Members-at-Large shall represent the general membership of the Region including chapters.

Section 3. The Board of Directors is authorized to organize or cause to be organized, Chapters, or other groups of organizations to further the interest of the Club, and to make changes thereof from time to time as the Board may determine.

Section 4. The Board of Directors may appoint such other officers, committees, agents or employees as it may deem necessary, and shall fill all temporary or permanent vacancies that may occur during the year in any Regional office.

Section 5. Regular meetings. A regular annual meeting of the Board of Directors shall be held without other notice than this by-law, immediately after, and at the same place, as the annual meeting of the Region. The Board of Directors may provide by resolution the time and place, either within or without the County of Los Angeles or the State of California, for the holding of additional regular meetings of the Board without other notice than such resolution. Monthly meetings of the Board shall be held each month on the date and at a time determined by the President.

Section 6. Quorum. A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board.

ARTICLE VIII
Committees

Section 1. Standing committees of the Region shall consist of the following: Membership, Publications, Technical and Activities.

Section 2. Special committees shall consist of a Nominating Committee, as heretofore provided for and such other committees deemed necessary and appropriate by the Board of Directors.

Section 3. Members of Standing Special Committees shall be appointed by the Board of Directors.

ARTICLE IX
Chapters

Section 1. Organizing. A petition to form a chapter indicating the proposed name, geographical boundaries, and signed by at least five members in good standing of the Model A Restorers Club, Incorporated, and the Region shall be submitted to the Regional Secretary, who shall submit same to the Board of Directors for approval and issuance of a charter.

Section 2. Each chapter so constituted shall furnish the names and titles of its officers and committee chairmen ot the Regional Secretary as well as a copy of its by-laws.

Section 3. The Board of Directors shall review all petitions of proposed chapters with authority to make adjustments in accordance with Article VII, Section 3, which may be considered in the best interests of the Club.

Section 4. Chapters shall establish their own officers, by-laws and sources of income. All National and Regional dues of members shall be paid through the Regional Secretary. Fifty percent of regional dues will be returned to the Chapter treasury semi-annually.

Section 5. Membership in Chapters may consist of persons outside of geographical limits, except that such outside membership shall not exceed twenty-five (25) percent of number of members recruited from within approved geographical limits.

ARTICLE X
Publications

Section 1. The Board of Directors and the Editor at the time shall make all decisions as to contents and govern the publication of "The Horn". Any changes in articles must be approved by the author. The Editor shall have only one voting right on matters relating to "The Horn".

ARTICLE XI

Section 1. These by-Laws may be altered, amended or repealed and new by-laws may be adopted by a two-thirds majority of the members present at any regular meeting, or at a special meeting held in accordance with the provisions of Article IV, Section 3.

Section 2. All altered, amended, repealed, or new by-laws shall be published annually, identified and dated. Reprinted by-laws shall be dated in front of book and page numbers inserted.

Beginning from a point on the coast line where the Ventura and Los Angeles Counties meet, thence northerly along said meeting line to the Kern County Line, thence easterly along the Kern County Line to the San Bernardino County Line, thence southerly to the Orange County line, thence westerly to a point at Valley Boulevard and Lemon Road in Los Angeles County, thence westerly along Valley Boulevard to the City of Industry, thence westerly along the San Gabriel River to Rosemead and Beverly Boulevards, thence southerly along Rosemead Boulevard to Firestone (Manchester) Boulevard, thence westerly along Firestone (Manchester) Boulevard to a point at the coast line and termination of Manchester Boulevard, thence northerly and westerly along the coast line to the Ventura County Line and the point of beginning.
